All agreements are made upon and are subject to the rules and regulations of Service America Corporation, d/b/a Centerplate ("Centerplate") and the following conditions listed. The contract constitutes the final, complete and exclusive written expression of the intentions of the parties with respect to the subject matter hereof and shall supersede all previous communications, representations, agreements, promises or statements whether oral or written, by any party or between parties.

1.Centerplate must be notified of the exact number of guests at least 72 business hours prior to the function. This wil be considered the guarantee for which the Customer will be charged even if fewer guests attend. For functions of 2,500 and above the guarantee is due at least 120 business hours prior to your function. Centerplate will be prepared to serve 5% above the guarantee to a maximum of 30 persons. If the guarantee is not provided at the required time, the expected attendance specified on the Banquet Event Order will be used as the guarantee. Any additions after the guarantee is provided may be subject to an additional 25% fee.

  • All functions are subject to the rules and regulations of Centerplate and the conditions set forth below. FAILURE TO SIGN THE CONTRACT, FOOD AND BEVERAGE EVENT ORDER(S) AND/OR RECEIPT OF THE REQUIRED DEPOSIT MAY RESULT IN THE EVENT ARRANGEMENTS BEING CANCELLED.

    1.Centerplate maintains the exclusive right to provide the food and beverage for the Facility. All food and beverage must be purchased from Centerplate and none may be brought in by the customer.

    2.Customer agrees to pay any and all service charges, federal, state, local or other taxes imposed on or applicable to the event or this Agreement. If Customer is a tax-exempt organization, copies of State and/or City exemption certificates must be received with the signed contract, banquet event orders, and required deposit. If copies of exemption certificate are not received by Centerplate as indicated, all otherwise applicable sales taxes will be assessed and charged to the Customer.

    3.Centerplate will lock-in prices up to (90)days in advance of the event upon receipt of signed contract, banquet event order/s and required deposit. Due to fluctuating market prices, function quotations will be subject to change until the event is locked-in by receipt of signed contract, banquet event order/s and required deposit.

    4.Centerplate must be notified of the exact number of guests at least 72 business hours prior to the function.     5.A charge will be assessed for cancellation of contracted services within 15 days of the event. The charge will be calculated to cover material and labor costs (including administrative) incurred or by Centerplate as a result of the anticipated event as well as the foregone profit margin associated with the canceled event should the date not be rebooked by another customer. Any event canceled within seventy-two (72) hours prior to the event required payment in full for the estimated revenue based on the menu and event arrangements.

    6.A charge may be assessed to the customer if the event's actual start or finish times deviate on the day of the scheduled event in excess of 30 minutes from the agreed upon parameters specified in the banquet event order. The charge wil be based on actual labor costs incurred for the period of time that the event was delayed or extended and supported by Centerplate's staffing records.

    7.An additional labor fee will be assessed to the customer for all events scheduled on or requiring preparatory set-up on the following holidays. New Year's Eve, Martin Luther King Day, President's Day, Memorial Day, Independence Day, Labor Day, Thanksgiving Day, Day after Thanksgiving, Christmas Day. The labor fee will be calculated as 60% of the sum of all direct labor associated with the customer's event/s as supported by Centerplate's payroll records.

    8.Customer shall conduct the Event in an orderly manner in full compliance with applicable laws and regulations and the Facility's rules and terms. Customer agrees to be responsible for any damage done to the premises by the Customer, Customer's guests, Customer's sub-contractors and/or Customer's agents during the period of time that the premises are occupied by the Customer.

    9.It is agreed that either Party shall not be held responsible for any losses resulting form the non-fullfillment of any terms or provisions of this agreement if they shall be delayed or prevented because of war, acts of terrorism, revolution or other disorder, strike and other labor troubles, fire, flood, Act of God, or without limiting any of the foregoing by any other act not within the control of the party terminating or suspending its obligations which by reasonable diligence is unable to prevent. If Customer terminates or suspends any of its obligations pursuant to this Section 10, Customer will reimburse Centerplate for all of its actual out of pocket costs as documented by Centerplate's invoices or purchase orders.

    10.Complaints and objections to the function hereunder must be made in writing to Centerplate within seven (7) days following the event and objections or complaints or not so made shall be deemed forever waived.

    11.If, in the sole judgment of Centerplate or the Facility, in order to maintain adequate security measures in light of the size and/or the nature of the event, Customer shall provide, at its sole expense, security personnel for the function supplied by a reputable licensed guard or security agency doing business in the city or county in which the Facility is located.

    12.At the conclusion of the event any final balance due shall be paid to Centerplate no later than ten (10) working business days after receipt of the invoice. In the event the balance owing to Centerplate under this contract is not paid within the aforementioned time frame, Centerplate may apply any final balance due to the credit card used to guarantee payment. Any such balance shall accrue interst at the rate of one and one-half (1-1/2%) per month. The Customer is responsible for all attorney's fees and court costs incurred to collect delinquent accounts.

    13.The parties agrees to protect, indemnify, defend and hold harmless each other, Centerplate, Colorado Springs World Arena and City of Colorado Springs and their respective directors, or incurred in connection with any claims, suits, actions or proceeding made or brought against any such party as a result of any negligent acts or omissions of each other or their directors, officers, employees, agents or invitees.

    14.Any changes, revisions, additions and/or deletions made on this contract must be mutually agreed upon in writing by both parties. Handwritten changes made to this contract by customer will nullify and void the contract.

    15.Exhibit material, samples, prizes, equipment, computer hardware, software, telecommunication devices, and other items belonging to the Customer are placed on the premises at the owner's risk. Centerplate will not be responsible should any damages occur to customer's property from products, equipment, and services provided by Centerplate.

    16.Each person signing this agreement on behalf of Customer represents that he or she has full authority to bind Customer and agrees that he or she will be jointly and severally liable with customer for all amounts owing hereunder.

    17.LIQUOR LIABILITY:Centerplate will comply with all alcoholic beverage control laws throughout the Meeting Dates. Further, all alcoholic beverages sold or served under Centerplate's liquor license wil only be dispensed by Centerplate's employees, bartender or agents. Centerplate warrants that all employees and agents, regardless of their employee job designation, dispensing alcoholic beverages to any person have undergone adequate training to avoid incidents which could result in claims of liquor liability.
